These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you,” “your,” or “User”) and Postam Technologies, Inc. (“Postam,” “we,” “us,” or “our”), a company registered under the laws of the United States, with a registered address at 456 Dro Street, Connect City, TX. These Terms govern your access to and use of the Postam mobile application, website, and related services (collectively, the “Platform” or “Services”).

By creating an account, accessing, or using the Platform, you agree to be bound by these Terms and by our Privacy Policy, Community Guidelines, and any other policies referenced herein (collectively, the “Agreement”). If you do not agree to these Terms, you must not access or use the Platform.

1. The Postam Platform

Postam is a social platform that allows users to create, upload, and share short-form videos, photos, text posts, and livestreams (collectively, “Content”), to interact with other users’ Content, to follow creators and build communities, and, subject to eligibility and verification requirements, to earn Points that may be converted into cash rewards.

We may introduce, modify, suspend, or discontinue any feature of the Platform, including monetization mechanics, at any time, with or without notice, and we are not obligated to maintain any specific feature indefinitely.

We do not guarantee that the Platform will be uninterrupted, secure, timely, or error-free, or that any Content will remain available for any period of time.

2. Eligibility

You must be at least 17 years old to create a Postam account, and if you are under the age of majority in your country of residence, you may only use the Services with the involvement and consent of a parent or legal guardian who agrees to be bound by these Terms on your behalf. Certain features, including the rewards and monetization tools described in Section 8, are only available to users who meet the applicable age requirement in their country and who complete any required identity verification.

By using the Services, you represent and warrant that:

• You can form a legally binding contract with Postam, or you have the consent of a parent or guardian who can;
• You are not barred from using the Services under the laws of the United States, your country of residence, or any other applicable jurisdiction;
• You have not been previously suspended or removed from the Services, unless we have given you written permission to return;
• The information you provide to us during registration is accurate and current, and you will keep it that way.

We may offer the Services in a limited number of countries and regions, and we may add, restrict, or discontinue availability in a particular country or region at our discretion, including because of legal, regulatory, payment, or operational considerations

3. Your Account

To access most features of Postam, you will need to register for an account. You agree to provide accurate information when you register, and to keep that information up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that takes place under your account, whether or not you authorized it.

You agree to notify us promptly at support@joinpostam.com if you become aware of any unauthorized use of your account or any other breach of security. We are not liable for any loss or damage arising from your failure to safeguard your account credentials.

You may not sell, rent, lease, transfer, or share your account with anyone else, and you may not create an account for anyone other than yourself unless you are a parent or guardian setting up a supervised account consistent with our policies. We reserve the right to disable any account, at any time and without notice, if we believe you have violated these Terms

4. User Content

a.Your Content

Postam lets you create and share videos, photos, text posts, comments, livestreams, and other material (“User Content”). You retain ownership of the intellectual property rights you hold in the User Content you post. We do not claim ownership of your User Content.

However, for us to operate, promote, and improve the Services, you grant Postam a non-exclusive, transferable, sub-licensable, royalty-free, worldwide license to host, store, reproduce, modify, adapt, edit, publish, publicly perform, publicly display, and distribute your User Content, in whole or in part, in any media formats and through any media channels, whether now known or developed in the future. This license continues even if you stop using the Services, to the extent your content has been shared with others or incorporated into content shared by others, or as reasonably needed to comply with legal obligations or resolve disputes.

You are solely responsible for the User Content you post, and you represent that you own or have obtained all necessary rights, licenses, consents, and permissions to post it and to grant us the license above. You should think carefully before sharing anything you would not want to be public, permanent, or shared beyond your intended audience

b. Content Guidelines

We want Postam to be a place people enjoy spending time in, so we ask everyone to follow our Community Guidelines, which are incorporated into these Terms by reference and available within the app. The Community Guidelines describe in more detail what kinds of content and behavior are and are not welcome on Postam.

Without limiting the Community Guidelines, you agree not to post or transmit User Content that:

• Is unlawful, defamatory, obscene, pornographic, harassing, hateful, or discriminatory on the basis of race, ethnicity, religion, gender, sexual orientation, disability, or other protected characteristic;
• Depicts, promotes, or facilitates violence, self-harm, exploitation or endangerment of minors, or terrorism or violent extremism;
• Infringes any patent, trademark, trade secret, copyright, right of publicity, or other intellectual property or proprietary right of any party;
• Contains false or misleading information likely to cause public harm, including health, election, or financial misinformation;
• Impersonates any person or entity, or misrepresents your affiliation with a person or entity;
• Contains software viruses, malware, or any other code designed to interrupt, damage, or limit the functionality of the Services;
• Is designed to artificially inflate engagement, points, or rewards, including through bots, click-farms, or coordinated inauthentic behavior.

We may, but are not obligated to, review, monitor, filter, moderate, or remove User Content at our discretion, including content that we believe violates these Terms, our Community Guidelines, or applicable law, or that we believe is otherwise objectionable. We may also restrict the visibility or distribution of content without removing it.

5. Monetization, Points, and Wallet

1. Points: Points are a virtual, non-currency reward unit awarded by Postam based on qualifying engagement with your Content, participation in platform activities, or receipt of virtual gifts during livestreams, as determined under our then-current reward policies. Points have no cash value until converted in accordance with this Section and are not a form of currency, security, deposit, or investment.
2. No Guarantee of Value. We may adjust the rate at which engagement generates Points, the rate at which Points convert to wallet balance, and any associated fees, at any time and at our sole discretion. Points accrued under one set of policies are not guaranteed to retain the same value under future policies.
3. Identity Verification (KYC): Before you may convert Points to wallet balance or withdraw funds, you must complete identity verification, which may include providing a government-issued identification document, proof of address, tax information, and other information necessary for us or our payment partners to comply with applicable anti-money laundering (“AML”), know-your-customer (“KYC”), counter-terrorist financing, sanctions, and tax reporting obligations. We reserve the right to deny, suspend, or revoke monetization access to any user who does not complete or fails verification.
4. Wallet and Withdrawals: Eligible users may convert accumulated Points into wallet balance and request withdrawal of that balance to a linked bank account or other supported payout method, subject to minimum withdrawal thresholds, processing times, applicable fees, and any limits we impose for risk, compliance, or operational reasons. Withdrawals may be delayed or declined where we reasonably suspect fraud, a Terms violation, or a legal or regulatory issue, or where our payment partners are unable to process the transaction in your country. As Postam operates across multiple countries, currency conversion, local payment rails, and applicable taxes may affect the amount you ultimately receive. You are responsible for determining and paying any taxes that apply to amounts you earn through the Services, and we may be required to report payouts to tax authorities in certain jurisdictions.
5. Virtual Gifts: During livestreams or other supported features, users may purchase virtual gifts using real currency and send them to creators. Virtual gifts have no cash value to the purchasing user and are non-refundable and non-transferable once sent, except as required by applicable law. Creators may be entitled to convert gifts received into Points or wallet balance under our then-current reward policies.
6. Taxes: You are solely responsible for determining and satisfying any tax obligations arising from amounts you earn through the Platform. We may be required to collect tax identification information and to report earnings to tax authorities as required by law, and may withhold amounts where required to do so.
7. Fraud and Reversal: We may withhold, freeze, reverse, or reclaim Points, wallet balance, or withdrawn funds that we reasonably believe were obtained through fraud, abuse, violation of this Agreement, or engagement that does not reflect genuine user activity, and may deduct such amounts from future earnings or take other lawful collection measures.
8. Third-Party Payment Processors: Withdrawals and certain payment features may be processed through third-party payment providers, whose own terms and privacy practices will apply to those transactions. We are not responsible for the acts or omissions of independent payment processors.

6. Premium Subscription

Postam may offer a paid subscription tier (“Premium”) that provides additional features such as enhanced profile customization, analytics, visibility tools, or other benefits we make available from time to time. Premium subscriptions may auto-renew at the then-current price unless cancelled prior to the renewal date, in accordance with the billing terms presented to you at the time of purchase and the policies of the applicable app store (Apple App Store or Google Play Store), which govern in-app purchases made through those stores. Except where required by applicable law or app store policy, subscription fees are non-refundable, including for partial subscription periods.

7. Advertising and Brand Content

Postam may allow businesses and brands to promote products, services, or campaigns on the platform, including through sponsored content, advertisements, and creator partnerships. We may use information about your use of the Platform to select and measure advertising, as further described in our Privacy Policy.

If you create sponsored or branded Content, you are responsible for complying with all applicable disclosure laws and regulations (including guidance from the U.S. Federal Trade Commission or equivalent bodies in your jurisdiction) and with any brand-content disclosure tools we make available on the Platform.

8. Prohibited Conduct

In addition to the content restrictions in Section 4b, you agree that you will not, and will not attempt to:

1. Access or use the Services in a way that violates any applicable local, national, or international law or regulation;
2. Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Services, except where such restriction is prohibited by applicable law;
3. Use any robot, spider, scraper, or other automated means to access the Services or collect data from them without our prior written consent;
4. Circumvent, disable, or otherwise interfere with security features of the Services or features that enforce limitations on use of content;
5. Interfere with or disrupt the integrity or performance of the Services, including by transmitting any virus, worm, or other harmful code;
6. Collect or harvest any personally identifiable information from the Services, including account names or contact details, without consent;
7. Use the Services to send unsolicited communications, promotions, or advertisements, or to spam other users;
8. Use the Services in any manner that could disable, overburden, damage, or impair them or interfere with any other party’s use of the Services;
9. Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Services, the servers on which the Services are stored, or any server, computer, or database connected to the Services;
10. Create multiple accounts for a single individual for the purpose of manipulating engagement, Points, or rewards, or evading a suspension.

9. Intellectual Property of Postam

The Platform, including its software, design, graphics, trademarks, logos, and all content we or our licensors provide (excluding User Content), is owned by Postam or our licensors and is protected by copyright, trademark, and other intellectual property laws.

Subject to your compliance with this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your personal, non-commercial use (or, where applicable, in connection with your permitted use of our brand or creator tools). No other rights are granted. You may not use Postam’s name, logo, or trademarks without our prior written consent, except as permitted by our brand guidelines, if published.

10. Copyright Complaints

We respect the intellectual property rights of others and expect users of the Services to do the same. If you believe that content on Postam infringes your copyright or other intellectual property rights, please send a notice to legal@joinpostam.com that includes: (a) a description of the work you believe has been infringed; (b) a description and location (such as a link) of the material you believe is infringing; (c) your contact information; (d) a statement that you have a good-faith belief that the use is not authorized; and (e) a statement, under penalty of perjury, that the information in your notice is accurate and that you are the rights holder or authorized to act on their behalf.

We may remove or disable access to content in response to such notices, and we may terminate the accounts of users who are found to be repeat infringers, in each case consistent with applicable law.

11. Third-Party Services and Links

The Platform may contain links to third-party websites, products, or services that are not owned or controlled by Postam, and you may be able to log into Postam or connect other accounts using third-party sign-in services. We are not responsible for the content, policies, or practices of any third party, and your interactions with third-party services are governed by that third party’s own terms and privacy policy. We encourage you to review those terms before engaging with any third-party service.

12. Privacy

Our collection and use of personal information in connection with the Services is described in our Privacy Policy. By using the Services, you consent to the collection, use, and sharing of your information as described there. Because we operate across multiple countries, your information may be transferred to, stored, and processed in the United States or other countries that may have data protection laws different from those of your home country; we take steps intended to provide an appropriate level of protection wherever your information is handled.

13. Disclaimers

THE PLATFORM AND ALL CONTENT, FEATURES, AND FUNCTIONALITY ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE PLATFORM IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

WE DO NOT ENDORSE AND ARE NOT RESPONSIBLE FOR THE ACCURACY, RELIABILITY, OR LEGALITY OF ANY USER CONTENT. YOUR INTERACTIONS WITH OTHER USERS ARE SOLELY BETWEEN YOU AND SUCH USERS. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL POSTAM, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR POINTS/WALLET VALUE, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE PLATFORM OR THIS AGREEMENT WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100).

SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

15. Indemnification

You agree to defend, indemnify, and hold harmless Postam and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or in any way connected with: (a) your access to or use of the Platform; (b) your User Content; (c) your violation of this Agreement; or (d) your violation of any third party’s rights.

16. Suspension and Termination

These Terms remain in effect while you use the Platform. You may stop using the Platform and close your account at any time through your account settings or by contacting support@joinpostam.com.

We may suspend or terminate your account or your access to all or part of the Platform, with or without notice, for conduct that we believe violates these Terms, our Community Guidelines, or applicable law, exposes us or others to risk or liability, or for any other reason we deem appropriate, including extended inactivity or the discontinuation of the Services generally.

Upon termination, your right to use the Platform will immediately cease. Sections of these Terms that by their nature should survive termination, including provisions relating to ownership, warranty disclaimers, indemnification, limitation of liability, and dispute resolution, will survive.

We are not obligated to pay out Points or wallet balance obtained through activity that violates this Agreement, and may forfeit unwithdrawn balances associated with an account terminated for cause, to the extent permitted by applicable law

17. Modifications to the Platform and These Terms

We may modify these Terms from time to time. If we make material changes, we will provide notice through the Platform or by other reasonable means before the changes take effect. Your continued use of the Platform after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Platform and may close your account.

18. Dispute Resolution & Arbitration Agreement

1. Informal Resolution: Before filing a claim against Postam, you agree to first contact us at support@joinpostam.com and attempt to resolve the dispute informally for at least thirty (30) days.
2. Binding Arbitration: Except for disputes that qualify for small claims court or claims for injunctive relief relating to intellectual property, you and Postam agree that any dispute arising out of or relating to this Agreement or the Platform will be resolved through final and binding arbitration, rather than in court, in accordance with the rules of a recognized arbitration body (such as the American Arbitration Association), except as otherwise required by applicable law. Arbitration will be conducted on an individual basis.
3. Class Action Waiver: You and Postam agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding.
4. Opt-Out: You may opt out of this arbitration agreement within thirty (30) days of first accepting these Terms by sending written notice to support@joinpostam.com with your name and a clear statement that you wish to opt out.

This Section does not prevent either party from seeking relief in small claims court for disputes within that court’s jurisdiction, or from seeking injunctive or other equitable relief for actual or threatened infringement, misappropriation, or violation of intellectual property rights.

19. Governing Law

This Agreement is governed by the laws of the State of Texas and applicable U.S. federal law, without regard to conflict-of-law principles, except to the extent such laws are inconsistent with, or preempted by, the arbitration provisions of the Federal Arbitration Act.

20. International Users and Sanctions Compliance

Postam is a United States company, and we are working to bring the Services to users across Africa and other regions. Availability of specific features, payment methods, and monetization options may vary by country based on local regulatory, payment infrastructure, and operational considerations, and we will let you know within the app where a feature is not yet available in your country.

You may not use the Services if you are located in a country subject to a U.S. government embargo, or if you are listed on any U.S. government list of prohibited or restricted parties. You agree to comply with all applicable export control and economic sanctions laws and regulations in your use of the Services

21. General Provisions

1. Entire Agreement: This Agreement, together with our Privacy Policy and any other policies referenced herein, constitutes the entire agreement between you and Postam regarding the Platform, and supersedes any prior agreements.
2. Severability: If any provision of this Agreement is found to be unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force.
3. No Waiver: Our failure to enforce any right or provision of this Agreement will not be deemed a waiver of such right or provision.
4. Assignment: You may not assign or transfer this Agreement without our prior written consent. We may assign this Agreement without restriction, including in connection with a merger, acquisition, or sale of assets.
5. Force Majeure: We will not be liable for any failure or delay in performance resulting from causes beyond our reasonable control.
6. Notices: We may provide notices to you via the Platform, email, or other reasonable means. You may provide notices to us at support@joinpostam.com.
